Terms of Use

1. ELIGIBILITY AND ACCOUNTS

You must be at least 18 years old to use the Services.

Access to the Services currently requires a valid subscription obtained through the Microsoft Azure Marketplace. We may introduce additional access or billing methods in the future.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities conducted under your account
• Ensuring information you provide is accurate and up to date

We may suspend or terminate access if we reasonably believe your account is being misused.

2. SERVICES AND AI FEATURES

MindSearch provides AI-powered services, including AI search and AI bots, which may generate outputs based on user inputs.

Important AI Disclosures

• AI outputs are generated automatically and may be inaccurate, incomplete, or misleading
• The Services are not a substitute for professional advice, including legal, medical, financial, or compliance advice
• You are solely responsible for how you use any output

We make no guarantees  regarding correctness, completeness, or fitness for a particular purpose of AI outputs.

3. USER CONTENT AND RESPONSIBILITIES

Your Content

You retain ownership of all data, prompts, documents, and other content you submit (“User Content”).

By using the Services, you grant us a limited, non-exclusive, worldwide license to process, store, log, and analyze User Content solely to:

• Provide and operate the Services
• Maintain security and prevent abuse
• Improve and optimize our products
• Comply with legal obligations

Your Responsibilities

You acknowledge and agree that:

• You are solely responsible for User Content you submit
• You must not upload or submit sensitive, personal, or confidential data unless you have lawful authority and accept the associated risks
• You are responsible for ensuring your use complies with applicable laws

We are not responsible for User Content or consequences arising from its use.

4. ACCEPTABLE USE

You agree not to:

• Use the Services for unlawful, abusive, or fraudulent purposes
• Violate applicable laws or regulations
• Attempt to reverse engineer or interfere with the Services
• Circumvent usage limits or security controls
• Submit content that infringes intellectual property or privacy rights

We may suspend or terminate your access without refund if you violate these Terms.

5. SUBSCRIPTIONS AND BILLING

Subscriptions are billed and managed through Microsoft Azure Marketplace, subject to Microsoft’s applicable terms.

We do not control Microsoft’s billing processes, refunds, or payment handling.

6. INTELLECTUAL PROPERTY

We retain all rights, title, and interest in the Services, including software, models, branding, and documentation.

Nothing in these Terms grants you ownership of our intellectual property.

7. SUSPENSION AND TERMINATION

We may suspend or terminate your access:

• For violations of these Terms
• For unlawful or abusive use
• To comply with legal obligations
• To protect the security or integrity of the Services

Upon termination, your right to use the Services immediately ceases.

8. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF AI OUTPUTS

We do not warrant uninterrupted or error-free operation.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR REPUTATION
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

These limitations apply even if we were advised of the possibility of such damages.

10. INDEMNIFICATION

You agree to indemnify and hold harmless the Company from claims arising out of:

• Your use of the Services
• Your User Content
• Your violation of these Terms or applicable laws

11. CHANGES TO THE SERVICES OR TERMS

We may modify the Services or these Terms from time to time.
Material changes will be reflected by an updated “Last updated” date.

Continued use constitutes acceptance of the updated Terms.

12. GOVERNING LAW AND JURISDICTION

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to conflict-of-laws principles.

You agree to submit to the exclusive jurisdiction of the courts of Singapore.
